Agenda Item Request for the Extraordinary Shareholders' Meeting of New Venturetec Ltd. of June 27, 2019

Zug, May 16, 2019. New Venturetec AG (the "Company") has received today from a group of shareholders consisting of Rosa Siegrist, Reinhard Siegrist, Rossier, Mari & Associates AG, Georges Mari, Chantal Biner, Alexander Biner and Guido Erni (the "Group") various agenda item requests for the extraordinary shareholders' meeting of June 27, 2019.

The Group requests that Reinhard Siegrist and RA Dominique Gottret are elected to the Company's Board of Directors for the remainder of the term of office until the next annual general meeting 2018/2019. The Group also requests the dismissal of Andreas von Sprecher and Michael Endres as members of the Board of Directors.

The Group further requests the dissolution and liquidation of the Company and the election of the members of the Board of Directors as liquidators.

Should the requested agenda item "dissolution and liquidation of the Company" not be approved, the Group further requests i) the reduction of the share capital to the maximum extent permitted by law and the Company's Articles of Association in accordance with the Semi-Annual Report 2018/2019 by reducing the par value of the bearer shares from CHF 6.00 by the maximum amount permitted by law and the Company's Articles of Association and the use of the reduction amount for repayment to the shareholders, ii) the cash distribution of an extraordinary dividend in the amount of the available reserves from capital contributions in the maximum permissible amount per bearer share according to the Semi-Annual Report 2018/2019, and iii) the cash distribution of an interim dividend on the basis of a current interim balance sheet to be prepared.

The Board of Directors will examine the proposals and will comment in due time.
